Terms, privacy & refunds.

The plain-language rules that govern your use of Proofed — how we handle your data, and how refunds work. Kept short and readable, but still binding.

Part one

Terms & conditions.

These Terms & Conditions form a contract between you and Proofed. They cover the Proofed website at proofed-cellar.com, the Proofed mobile application, the early-access waitlist, and any related services (together, the “Service”). By using the Service you agree to these Terms. If you don't agree, please don't use the Service.

Early access & the nature of the Service

Proofed is in early access. Features, data, pricing and availability may change without notice while we refine the product. Some functionality may be limited, experimental or temporarily unavailable. We make no guarantee of uninterrupted service during this period.

The Service helps collectors catalogue bottles and view market-based valuations. Valuations are estimates derived from publicly available auction and secondary-market data. They are not appraisals, not guarantees of sale price, and not financial or investment advice.

Eligibility

You must be of legal drinking age in your country of residence to use the Service. By using Proofed you confirm that you meet this requirement and that you are accessing the Service for lawful personal or professional collecting purposes.

Your account & your collection data

You're responsible for keeping your account credentials secure and for any activity that happens under your account. Notify us promptly if you suspect unauthorised access.

The catalogue you build — bottles, photos, tasting notes, purchase prices, provenance records — is yours. We don't sell it, share it with third parties for marketing, or use it to train external models. You can export your data or delete your account at any time.

Acceptable use

You agree not to:

  • Scrape, mirror or redistribute Proofed content, valuations or auction comps.
  • Use the Service to misrepresent provenance, forge records, or facilitate the sale of counterfeit bottles.
  • Reverse-engineer the Service, interfere with its security, or attempt to access accounts or data that aren't yours.
  • Use the Service to harass, defraud, or violate the law.

We may suspend or terminate accounts that breach these rules, with or without notice depending on severity.

Intellectual property

The Proofed name, logo, design, software, written content and data presentation are owned by Proofed and protected by intellectual property law. You may not copy, reproduce or build derivative products from them without written permission.

You keep ownership of the content you upload. By uploading, you grant Proofed a limited licence to store, process and display that content for the sole purpose of providing the Service to you.

Valuations & no financial advice

Market values shown in Proofed are informational. The rare-spirits and fine-wine markets are illiquid, volatile and influenced by condition, provenance, geography and buyer demand on the day. Past auction results don't predict future prices.

Nothing in the Service constitutes financial, investment, tax, legal or insurance advice. Decisions about buying, selling, insuring or storing your collection are yours alone. Consult a qualified professional where appropriate.

Third-party data & services

Auction and market data are sourced from third parties. We take reasonable care to present it accurately, but we don't warrant its completeness or timeliness, and we aren't liable for errors or omissions in third-party data.

Pricing & payment

Proofed is free during invite-only early access. When paid plans launch, we'll give waitlist members advance notice and honour any founding-member rates we've committed to. Subscription fees, billing cycles and refund eligibility are set out in the Refund policy below.

Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — express or implied — including fitness for a particular purpose, accuracy of valuations, and uninterrupted availability.

Limitation of liability

To the maximum extent permitted by law, Proofed will not be liable for indirect, incidental, consequential or special damages, or for loss of profits, data, goodwill or business opportunity arising from your use of the Service.

Our total aggregate liability to you for any claim arising out of or relating to the Service is capped at the greater of (a) the amount you paid Proofed in the 12 months preceding the claim, or (b) £100. Nothing in these Terms limits liability that cannot be excluded under applicable law (such as for death or personal injury caused by negligence, or fraud).

Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, if we're required to by law, or if we discontinue the Service. On termination, the sections of these Terms that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) will continue to apply.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the "last updated" date above and, where appropriate, notify you by email or in-app. Continued use of the Service after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with them is subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer-protection laws in your country of residence say otherwise.

Part two

Privacy policy.

This policy explains what personal data Proofed collects, why we collect it, how we keep it safe, and the rights you have over it. We act as the data controller for personal data processed through the Service, and we comply with the UK GDPR and the Data Protection Act 2018.

What we collect

  • Account data — name, email address, password hash, and any profile details you choose to add.
  • Collection data — the bottles, photos, tasting notes, purchase prices and provenance records you add to your cellar.
  • Usage data — pages visited, features used, device and browser information, approximate location derived from IP, and diagnostic logs.
  • Communications — emails you send us and support conversations.
  • Payment data — if/when you subscribe, payments are processed by a third-party provider (e.g. Stripe). We don't store full card numbers.

How we use your data

We use personal data to:

  • Provide, secure and improve the Service.
  • Generate valuations and insights from your catalogue and from third-party auction data.
  • Communicate with you about your account, updates and early-access news.
  • Detect fraud, abuse and breaches of these Terms.
  • Comply with legal obligations.

Our legal bases under UK GDPR are: performance of a contract (running your account), legitimate interests (improving and securing the Service), consent (for optional marketing emails) and legal obligation (where applicable).

What we don't do

We don't sell your personal data. We don't share your collection with third parties for marketing. We don't use your catalogue or photos to train external AI models.

Who we share data with

We share limited data only with vetted processors who help us run the Service:

  • Cloud hosting and database providers.
  • Email delivery providers (transactional and waitlist emails).
  • Payment processors (when paid plans launch).
  • Analytics and error-monitoring tools, configured to minimise personal data.

We may also disclose data where required by law, to enforce these Terms, or to protect the rights, property or safety of Proofed, our users or the public.

International transfers

Some of our processors operate outside the UK/EEA. Where they do, we rely on appropriate safeguards such as the UK International Data Transfer Agreement or the EU Standard Contractual Clauses.

How long we keep it

We keep your data for as long as your account is active. If you delete your account, we remove your personal data and collection from active systems within 30 days, except where we're required to retain it for legal, accounting or fraud-prevention reasons. Anonymised aggregate data may be retained indefinitely.

Your rights

Under UK GDPR you have the right to:

  • Access a copy of the personal data we hold about you.
  • Correct inaccurate or incomplete data.
  • Delete your data ("right to be forgotten"), subject to legal exceptions.
  • Restrict or object to certain processing.
  • Port your data to another service in a structured, machine-readable format.
  • Withdraw consent at any time where processing relies on consent.

To exercise any of these rights, email privacy@proofed-cellar.com. You also have the right to complain to the UK Information Commissioner's Office (ico.org.uk).

Cookies & similar tech

We use a small number of cookies and similar technologies to keep you signed in, remember preferences and understand how the Service is used. Essential cookies are always on. Analytics and optional cookies are only set with your consent where required by law.

Security

We use encryption in transit (TLS), encryption at rest for sensitive fields, access controls and regular backups. No system is perfectly secure — if we ever detect a breach affecting your data, we'll notify you and the relevant authorities as required by law.

Children

The Service is not directed at children. We don't knowingly collect data from anyone under the legal drinking age in their country.

Changes to this policy

We may update this policy as the Service evolves. Material changes will be communicated by email or in-app and reflected in the "last updated" date above.

Part three

Refund policy.

Proofed is free during invite-only early access, so there is nothing to refund right now. When paid plans launch, the rules below will apply to any subscription you take out.

14-day cooling-off period

If you're a consumer in the UK or EU, you have a statutory right to cancel a new paid subscription within 14 days of purchase for a full refund — unless you've already started using the paid features and have expressly agreed to waive that right at checkout.

Monthly subscriptions

You can cancel a monthly subscription at any time from your account. Cancellation takes effect at the end of your current billing period and you keep access until then. We don't issue pro-rata refunds for partial months.

Annual subscriptions

Annual subscriptions can be cancelled at any time. After the 14-day cooling-off period, we offer a pro-rata refund for the unused complete months remaining, minus any discounts applied at purchase, at our reasonable discretion.

When we'll always refund

We'll issue a full refund — beyond statutory requirements — if:

  • You were charged in error (e.g. duplicate billing, charged after cancelling).
  • A material paid feature is unavailable for a prolonged period due to our fault and we cannot restore it.
  • We discontinue a paid plan you've prepaid for — in which case we'll refund the unused portion.

When we won't refund

We're generally unable to refund:

  • Used portions of a billing period that has already started.
  • Accounts terminated for breach of these Terms (e.g. fraud, abuse, scraping, facilitating counterfeit sales).
  • Charges older than 12 months.
  • Fees paid to third parties (e.g. payment-processor or currency-conversion charges).

How to request a refund

Email billing@proofed-cellar.com from the address on your account, with the date of the charge and a short note about what happened. We aim to respond within 5 working days. Approved refunds are returned to the original payment method, usually within 5–10 working days depending on your bank.

Your statutory rights

This policy is in addition to — and does not affect — your statutory rights as a consumer under the laws of your country of residence.
